The Exit Technology Test: Is Your Portfolio Company Actually Ready to Sell?

Oct 9, 2026

A portfolio company can have strong revenue growth, healthy margins, and an attractive market position—and still face friction during an exit because its technology infrastructure is not ready for buyer scrutiny.
As buyers conduct deeper operational and technology due diligence, the question is no longer simply “Is the business performing?” It is also “Can we trust the systems and data behind that performance?”

The 5-Point Exit Technology Test

01 — Is the Data Reliable?
Financial, customer, operational, and KPI data should be consistent across systems. Conflicting numbers or manual spreadsheets can create unnecessary questions during diligence.

02 — Are Critical Processes Dependent on People?
If key reporting, customer processes, or operational workflows rely heavily on a few individuals, buyers may see execution and continuity risk.

03 — Can Systems Scale with the Business?
Technology that worked at $50M in revenue may not support a company approaching $100M+. Scalability, integrations, infrastructure, and system capacity matter.

04 — Is the Technology Stack Documented?
Buyers need visibility into core applications, integrations, data flows, cybersecurity controls, technical debt, and third-party dependencies. An undocumented stack can slow diligence.

05 — Can the Company Prove Its Performance?
Strong performance is more credible when the underlying systems can produce consistent, traceable evidence. Data lineage and reporting discipline can become part of the exit story.

The Exit Technology Test
Technology shouldn't become an exit project six months before a transaction.
The strongest preparation happens earlier—when there is still time to replace outdated systems, clean up data, automate critical workflows, and address technology risks without the pressure of an active sale.
Because at exit, technology isn't just infrastructure. It becomes part of the evidence behind the investment story.
